PREAMBLE

These Terms and Conditions (hereinafter "T&C") govern the use of the website www.itba-aibt.org(hereinafter the "Website") operated by the International Textile Biomass Alliance (hereinafter the "Alliance"), a non-profit organization registered in Canada.

Access to and use of the Website implies full and complete acceptance of these T&C by the user. If you do not accept these conditions, please do not use the Website.

1. DEFINITIONS

• Alliance: refers to the International Textile Biomass Alliance, a non-profit organization registered in accordance with Canadian laws.

• Website: refers to the website accessible at www.itba-aibt.org.

• User: refers to any person who accesses the Website and/or uses its services.

• Member: refers to any User who has subscribed to membership in the Alliance.

• Content: refers to all elements available on the Website (texts, images, videos, etc.).

• Services: refers to all functionalities offered by the Website.

2. PURPOSE

These T&C aim to define the conditions under which Users can access the Website and benefit from the Services offered, including:

• Consultation of information relating to the Alliance and its activities

• Membership in the Alliance

• Purchase of products or services related to the promotion of sustainable textiles

• Participation in forums and discussion spaces

• Access to documentary and educational resources

3. ACCESS TO THE WEBSITE AND SERVICES

3.1 Website Access

Access to the Website is open to all Users. Some parts of the Website and certain Services may be reserved for Members or subject to prior registration.

3.2 Account Creation

To become a Member or access certain Services, the User must create an account by providing the required information. The User commits to providing accurate, complete, and up-to-date information. Any false, outdated, or incomplete information may result in the immediate deletion of the account.

3.3 Account Security

The User is responsible for maintaining the confidentiality of their login credentials. Any use of the account with these credentials will be presumed to have been made by the User. The User agrees to immediately inform the Alliance of any unauthorized use of their account.

4. ALLIANCE MEMBERSHIP

4.1 Membership Terms

Membership in the Alliance is open to any individual or legal entity sharing the values and objectives of the Alliance. Membership fees are indicated on the Website and may vary according to membership categories.

4.2 Member Rights

Membership provides access to exclusive Services, including:

• Access to specific documentary resources

• Participation in Alliance assemblies and votes

• Preferential rates on certain products or services

• Participation in events reserved for Members

4.3 Duration and Renewal

Membership is valid for twelve (12) months from the date of joining. Renewal is not automatic and requires active action by the Member.

5. PURCHASE OF PRODUCTS AND SERVICES

5.1 Available Products and Services

The Alliance offers various products and services on the Website related to its mission of promoting sustainable textiles. The description, price, and availability of these products and services are indicated on the Website.

5.2 Price and Payment

Prices are indicated in Canadian dollars (CAD), excluding all taxes. Additional fees (delivery, etc.) may apply and are clearly indicated before order confirmation.

Payment is made online by credit card, electronic transfer, or any other means offered on the Website. The Alliance uses secure payment systems.

5.3 Delivery

Delivery times and costs are indicated before order confirmation. The Alliance strives to respect announced deadlines but cannot be held responsible for delays related to carriers or circumstances beyond its control.

5.4 Right of Withdrawal

In accordance with current Canadian legislation, the User has a period of fourteen (14) days from receipt of the product to exercise their right of withdrawal, without having to justify reasons or pay penalties.

6. INTELLECTUAL PROPERTY

6.1 Alliance Rights

The Website and its Content (texts, images, logos, videos, etc.) are the exclusive property of the Alliance or its partners and are protected by Canadian and international intellectual property laws.

6.2 User Rights

The User benefits from a personal, non-exclusive, and non-transferable right to use the Website's Content. Any reproduction, modification, distribution, or commercial exploitation of the Content without prior written authorization from the Alliance is strictly prohibited.

6.3 User-Generated Content

By publishing content on the Website (comments, articles, images, etc.), the User grants the Alliance a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, and modify this content within the framework of the Alliance's activities.

7. PROTECTION OF PERSONAL DATA

7.1 Collection and Processing

The Alliance collects and processes Users' personal data in accordance with its Privacy Policy accessible on the Website and in compliance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

7.2 User Rights

In accordance with current legislation, the User has the right to access, rectify, delete, and object to their personal data. These rights can be exercised by contacting the Alliance at the email address indicated in the Privacy Policy.

8. RESPONSIBILITIES

8.1 Alliance Responsibility

The Alliance strives to ensure the proper functioning of the Website and the accuracy of the information provided. However, it cannot guarantee the absence of errors or technical interruptions.

The Alliance cannot be held responsible for direct or indirect damages resulting from the use of the Website or the inability to access it.

8.2 User Responsibility

The User agrees to use the Website in accordance with these T&C and current legislation. In particular, they agree not to:

• Infringe on the rights of third parties

• Disseminate illegal, defamatory, offensive, or discriminatory content

• Attempt to disrupt the functioning of the Website or fraudulently access data

• Use the Website for commercial purposes without prior authorization

9. LINKS TO THIRD-PARTY WEBSITES

The Website may contain links to third-party websites. These links are provided for informational purposes only. The Alliance exercises no control over these sites and disclaims any responsibility for their content or their practices regarding personal data protection.

10. MODIFICATION OF THE T&C

The Alliance reserves the right to modify these T&C at any time. Modifications take effect upon their publication on the Website. Users are invited to regularly consult the T&C. Continued use of the Website after modification of the T&C constitutes acceptance of these modifications.

11. TERMINATION

11.1 By the User

The User may at any time cease using the Website or delete their account according to the procedures indicated on the Website.

11.2 By the Alliance

The Alliance reserves the right to suspend or delete, without notice or compensation, a User's access to the Website in case of violation of these T&C.

12. APPLICABLE LAW AND JURISDICTION

These T&C are governed by Canadian law. Any dispute relating to the interpretation or execution of these T&C will be submitted to the exclusive jurisdiction of the competent Canadian courts, unless contrary legal provisions apply.

13. MISCELLANEOUS PROVISIONS

13.1 Entirety

These T&C constitute the entire agreement between the Alliance and the User concerning the use of the Website.

13.2 Severability

If any provision of these T&C is declared null or unenforceable by a competent authority, the other provisions will remain in force and full effect.

PRÉAMBULE

Les présentes Conditions Générales de Vente et Conditions Générales d'Utilisation (ci-après "CGV & CGU") régissent l'utilisation du site internet www.itba-aibt.org (ci-après le "Site") exploité par l’Alliance Internationale de la Biomasse Textile (ci-après "l'Alliance"), une organisation de bienfaisance à but non lucratif enregistrée au Canada.

L'accès et l'utilisation du Site impliquent l'acceptation pleine et entière des présentes CGV & CGU par l'utilisateur. Si vous n'acceptez pas ces conditions, veuillez ne pas utiliser le Site.

1. DÉFINITIONS

• Alliance : désigne l'Alliance Internationale de la Biomasse Textile Alliance, organisation de bienfaisance à but non lucratif enregistrée conformément aux lois canadiennes.

• Site : désigne le site internet accessible à l'adresse : www.itba-aibt.org.

• Utilisateur : désigne toute personne qui accède au Site et/ou utilise ses services.

• Membre : désigne tout Utilisateur ayant souscrit à une adhésion à l'Alliance.

• Contenu : désigne l'ensemble des éléments disponibles sur le Site (textes, images, vidéos, etc.).

• Services : désigne l'ensemble des fonctionnalités proposées par le Site.

2. OBJET

Les présentes CGV CGU ont pour objet de définir les conditions dans lesquelles les Utilisateurs peuvent accéder au Site et bénéficier des Services proposés, notamment :

• La consultation des informations relatives à l'Alliance et à ses activités

• L'adhésion en tant que Membre de l'Alliance

• L'achat de produits ou services liés à la promotion du textile durable

• La participation aux forums et espaces de discussion

• L'accès aux ressources documentaires et éducatives

3. ACCÈS AU SITE ET AUX SERVICES

3.1 Accès au Site

L'accès au Site est ouvert à tous les Utilisateurs. Certaines parties du Site et certains Services peuvent être réservés aux Membres ou soumis à inscription préalable.

3.2 Création de Compte

Pour devenir Membre ou accéder à certains Services, l'Utilisateur doit créer un compte en fournissant les informations requises. L'Utilisateur s'engage à fournir des informations exactes, complètes et à jour. Toute information fausse, obsolète ou incomplète pourra entraîner la suppression immédiate du compte.

3.3 Sécurité du Compte

L'Utilisateur est responsable de la préservation de la confidentialité de ses identifiants de connexion. Toute utilisation du compte avec ses identifiants sera présumée avoir été effectuée par l'Utilisateur. L'Utilisateur s'engage à informer immédiatement l'Alliance de toute utilisation non autorisée de son compte.

4. ADHÉSION À L'ALLIANCE

4.1 Modalités d'Adhésion

L'adhésion à l'Alliance est ouverte à toute personne physique ou morale partageant les valeurs et objectifs de l'Alliance. Les frais d'adhésion sont indiqués sur le Site et peuvent varier selon les catégories de membres.

4.2 Droits des Membres

L'adhésion donne accès à des Services exclusifs, notamment :

• L'accès à des ressources documentaires spécifiques

• La participation aux assemblées et aux votes de l'Alliance

• Des tarifs préférentiels sur certains produits ou services

• La participation à des événements réservés aux Membres

4.3 Durée et Renouvellement

L'adhésion est valable pour une durée de douze (12) mois à compter de la date d'adhésion. Le renouvellement n'est pas automatique et nécessite une démarche active du Membre.

5. ACHAT DE PRODUITS ET SERVICES

5.1 Produits et Services Disponibles

L'Alliance propose sur le Site divers produits et services liés à sa mission de promotion du textile durable. La description, le prix et la disponibilité de ces produits et services sont indiqués sur le Site.

5.2 Prix et Paiement

Les prix sont indiqués en dollars canadiens (CAD), toutes taxes comprises. Des frais supplémentaires (livraison, etc.) peuvent s'appliquer et sont clairement indiqués avant la validation de la commande.

Le paiement s'effectue en ligne par carte bancaire, virement électronique ou tout autre moyen proposé sur le Site. L'Alliance utilise des systèmes de paiement sécurisés.

5.3 Livraison

Les délais et frais de livraison sont indiqués avant la validation de la commande. L'Alliance s'efforce de respecter les délais annoncés mais ne peut être tenue responsable des retards liés aux transporteurs ou à des circonstances indépendantes de sa volonté.

5.4 Droit de Rétractation

Tout achat de service ou de membership est définitif. Aucun remboursement n’est autorisé.

6. PROPRIÉTÉ INTELLECTUELLE

6.1 Droits de l'Alliance

Le Site et son Contenu (textes, images, logos, vidéos, etc.) sont la propriété exclusive de l'Alliance ou de ses partenaires et sont protégés par les lois canadiennes et internationales relatives à la propriété intellectuelle.

6.2 Droits des Utilisateurs

L'Utilisateur bénéficie d'un droit d'usage personnel, non exclusif et non transférable du Contenu du Site. Toute reproduction, modification, distribution ou exploitation commerciale du Contenu sans autorisation écrite préalable de l'Alliance est strictement interdite.

6.3 Contenu Généré par les Utilisateurs

En publiant du contenu sur le Site (commentaires, articles, images, etc.), l'Utilisateur accorde à l'Alliance une licence mondiale, non exclusive, gratuite, transférable et pouvant faire l'objet de sous-licences, pour l'utilisation, la reproduction, la distribution et la modification de ce contenu dans le cadre des activités de l'Alliance.

7. PROTECTION DES DONNÉES PERSONNELLES

7.1 Collecte et Traitement

L'Alliance collecte et traite les données personnelles des Utilisateurs conformément à sa Politique de Confidentialité accessible sur le Site et dans le respect de la Loi sur la protection des renseignements personnels et les documents électroniques (LPRPDE) du Canada.

7.2 Droits des Utilisateurs

Conformément à la législation en vigueur, l'Utilisateur dispose d'un droit d'accès, de rectification, de suppression et d'opposition concernant ses données personnelles. Ces droits peuvent être exercés en contactant l'Alliance à l'adresse électronique indiquée dans la Politique de Confidentialité.

8. RESPONSABILITÉS

8.1 Responsabilité de l'Alliance

L'Alliance s'efforce d'assurer le bon fonctionnement du Site et l'exactitude des informations fournies. Toutefois, elle ne peut garantir l'absence d'erreurs ou d'interruptions techniques.

L'Alliance ne pourra être tenue responsable des dommages directs ou indirects résultant de l'utilisation du Site ou de l'impossibilité d'y accéder.

8.2 Responsabilité des Utilisateurs

L'Utilisateur s'engage à utiliser le Site conformément aux présentes CGV & CGU et à la législation en vigueur. Il s'engage notamment à ne pas :

• Porter atteinte aux droits des tiers

• Diffuser des contenus illicites, diffamatoires, offensants ou discriminatoires

• Tenter de perturber le fonctionnement du Site ou d'accéder frauduleusement à des données

• Utiliser le Site à des fins commerciales sans autorisation préalable

9. LIENS VERS DES SITES TIERS

Le Site peut contenir des liens vers des sites internet tiers. Ces liens sont fournis à titre informatif uniquement. L'Alliance n'exerce aucun contrôle sur ces sites et décline toute responsabilité quant à leur contenu ou leurs pratiques en matière de protection des données personnelles.

10. MODIFICATION DES CGV & CGU

L'Alliance se réserve le droit de modifier les présentes CGV & CGU à tout moment. Les modifications entrent en vigueur dès leur publication sur le Site. Les Utilisateurs sont invités à consulter régulièrement les CGV & CGU. L'utilisation continue du Site après modification des CGV & CGU vaut acceptation de ces modifications.

11. RÉSILIATION

11.1 Par l'Utilisateur

L'Utilisateur peut à tout moment cesser d'utiliser le Site ou supprimer son compte selon les modalités indiquées sur le Site.

11.2 Par l'Alliance

L'Alliance se réserve le droit de suspendre ou de supprimer, sans préavis ni indemnité, l'accès d'un Utilisateur au Site en cas de violation des présentes CGV & CGU.

12. DROIT APPLICABLE ET JURIDICTION COMPÉTENTE

Les présentes CGV & CGU sont régies par le droit canadien. Tout litige relatif à l'interprétation ou à l'exécution des présentes CGV & CGU sera soumis à la compétence exclusive des tribunaux canadiens compétents, sauf disposition légale contraire.

13. DISPOSITIONS DIVERSES

13.1 Intégralité

Les présentes CGV & CGU constituent l'intégralité de l'accord entre l'Alliance et l'Utilisateur concernant l'utilisation du Site.

13.2 Divisibilité

Si l'une des dispositions des présentes CGV & CGU est déclarée nulle ou inapplicable par une autorité compétente, les autres dispositions resteront en vigueur et de plein effet.
